Official Rules

NO PURCHASE NECESSARY TO ENTER OR WIN. A PURCHASE DOES NOT IMPROVE YOUR CHANCES OF WINNING. INTERNET ACCESS IS REQUIRED FOR ENTRY. SUBJECT TO ALL FEDERAL, STATE, MUNICIPAL, AND LOCAL LAWS, REGULATIONS, AND ORDINANCES. VOID WHERE PROHIBITED BY LAW.

These are the official rules (the “Official Rules”) that govern the NRG x NVIDIA GPU Giveaway taking place from September 17, 2026 through October 18, 2026 (the “Giveaway”). Participation in the Giveaway constitutes Entrant’s (defined below) full and unconditional acceptance of these Official Rules.

Sponsor. This Giveaway is sponsored and administered by NRG Esports LLC, 3571 Far West Blvd., Suite 3306, Austin, TX 78731 (“Sponsor”). NVIDIA Corporation is a promotional partner of the Giveaway but not the administrator and not responsible for winner selection, notification, or prize fulfillment.
Eligibility. Participation in the Giveaway is open only to natural persons who are legal residents of the fifty (50) United States and the District of Columbia and who are at least 18 years of age (or the applicable age of majority in their jurisdiction of residence, which is eighteen (18) in most states but is nineteen (19) in Alabama and Nebraska and twenty-one (21) in Mississippi) at the date/time of entry (the “Entrants”). Entrants shall not include persons residing in U.S. territories, such as Puerto Rico, Guam, or the U.S. Virgin Islands, or any other jurisdiction where the Giveaway is prohibited by law, including (but not limited to) all countries subject to U.S. export sanctions or embargo (Cuba, Iran, North Korea, Russia, Belarus, Syria, and Venezuela), all Country Group D:5 jurisdictions under the U.S. Export Administrative Regulations, and China. Sponsor will not ship any Prize to any prohibited destination. Additional eligibility requirements may be announced during the Event (as defined below), provided that any such requirements are lawful, objective, applied uniformly, and do not materially alter the odds of winning after entry has opened. Void where prohibited or restricted by law. Employees, officers and directors of Sponsor and NVIDIA Corporation and their respective subsidiaries, affiliates, sponsors, suppliers, partners, advertising and promotion agencies, and their immediate families (parents, children, siblings, spouse) or members of the same household (whether related or not) of such employees/officers/directors are not eligible to enter. To participate in the Giveaway, you must be an authorized account holder of a valid Twitter/X or Instagram account; Twitter/X and Instagram accounts are free to create, and the Giveaway is not contingent on any paid subscription, paid feature, purchase, or other consideration. Entrants must have either a Twitter/X or an Instagram account to be contacted by Sponsor in the event they are selected as a Potential Winner. If you are using your mobile device to enter the Giveaway, charges, including message and data rates, may apply. You should consult your wireless service provider regarding its pricing plans. Normal time, toll, connection and usage rates, if any, charged by your Internet service provider may apply.
Giveaway. The Giveaway will begin on September 17, 2026 at 9:00 AM PT and shall end on October 18, 2026 at 11:59 PM PT (the “Promotion Period”). Only entries actually received by Sponsor during the Promotion Period and in compliance with these Official Rules shall be considered valid entries into the Giveaway. Sponsor’s servers are the official time-keeping device for the Giveaway.
How to Enter.
1. NO PURCHASE NECESSARY TO ENTER. Entrants can enter the Giveaway by completing one of the following methods below (the “Entrance Method”):
  1. Twitter/X: Sponsor will publish one (1) post on Twitter/X, and Entrants must retweet/reshare this post, reply to the post, and follow the @NRGgg and @NVIDIAGeForce Instagram accounts.
  2. Instagram: Sponsor will publish one (1) giveaway post on Instagram, and Entrants must “like” this post, reply to the post, and follow the @nrggg and @nvidiageforce Instagram accounts.
2. Entrant can enter the Giveaway one (1) times, and duplicate, excess, incomplete, fraudulent, or noncompliant entries will be void. Entry into the Giveaway does not constitute entry into any other giveaway operated by Sponsor.
3. By submitting an entry, you agree to be fully unconditionally bound by these Official Rules, and you represent and warrant that you meet the eligibility requirements. Those who do not follow all of the instructions or abide by these Official Rules or other instructions of Sponsor may be disqualified.
4. By submitting an entry, you acknowledge and agree that you will clearly and conspicuously disclose that you are participating in a Giveaway in any online social sharing interaction that references the Giveaway, including by using any disclosures required in a manner that is not hidden or obscured.
5. No automated entry devices and/or programs are permitted. Receipt of entries will not be acknowledged or returned, and Sponsor has no obligation to preserve, return, or produce any entry except as required by applicable law. Sponsor is not responsible for late, illegible, incomplete, invalid, unintelligible, misdirected, technically corrupted or garbled entries, which will be disqualified, or for problems of any kind whether mechanical, human or electronic. Only fully completed entries are eligible. Proof of submission of an entry will not be deemed to be proof of receipt by Sponsor.
Winner Selection. On October 20, 2026 at or shortly after 11:00 AM PT, at Sponsor’s regular place of business, Sponsor shall select one (1) Entrant (the “Potential Winner”) from all Entries received during the Promotion Period, with the Potential Winner being subject to eligibility verification. All decisions of the Sponsor are final and binding with respect to all matters related to the Giveaway, subject to applicable law and Sponsor’s obligation to administer the Giveaway in accordance with these Official Rules. A Potential Winner becomes a “Winner” when the Potential Winner complies with the terms set forth in Section 8 herein, and otherwise complies with these Official Rules.
Prizes. There will be one (1) prize offered for the Giveaway (the “Prize”). The Winner will receive the following Prize: a custom NRG-themed NVIDIA GeForce GTX 5090 GPU, which has an approximate retail value (“ARV”) equal to One Thousand Nine Hundred Ninety-Nine Dollars ($1,999). No Prize substitution shall be permitted except at Sponsor’s discretion, provided that Sponsor may substitute a prize of equal or greater approximate retail value if the advertised Prize becomes unavailable for any reason. The Prize is nontransferable, non-assignable, and not redeemable for cash, and no Prize substitution, transfer, or cash equivalent is permitted except by Sponsor as stated in these Official Rules. Any and all Prize-related expenses, including without limitation any and all federal, state, and/or local taxes, shall be the sole responsibility of the Winner. Please note that it may take up to eight (8) weeks for Prize(s) to be delivered to Winner upon Winner’s written notice to Sponsor of the Winner’s delivery information, subject to applicable law.
Odds: The odds of winning depend on the number of eligible entries received during the Promotion Period for the Giveaway.
Winner Notification. The Potential Winner will be notified that they have been randomly selected as a Potential Winner of the Giveaway by Twitter/X or Instagram direct message, depending on the Entrance Method used by the Potential Winner when entering the Giveaway (e.g., if the Potential Winner entered through Twitter/X, the Potential Winner will be contacted by Twitter/X direct message) (the "Prize Notification"). Potential Winners must have either a Twitter/X or Instagram account to enter the Giveaway and to be contacted and receive the Prize Notification from Sponsor. IT IS ENTRANT’S SOLE RESPONSIBILITY TO CONFIGURE ENTRANT’S ACCOUNT PRIVACY SETTINGS SO AS TO ACCEPT PRIVATE MESSAGES FROM SPONSOR. In the event that any Potential Winner does not respond to Prize Notification within twenty-four (24) hours of the time of issuance (or such other timeframe as specified within the Prize Notification) or declines the prize for any reason, a disqualification will result, the Prize will be forfeited, and Sponsor may, in its sole discretion, select an alternate Potential Winner by random drawing from among the remaining eligible entries. Each Potential Winner may be required to execute and return a Declaration of Compliance, liability release, publicity release (where lawful), tax documentation, and any other documents reasonably required by Sponsor within twenty-four (24) hours of the time of issuance (or such other timeframe as specified by Sponsor). Failure to (i) respond to the Prize Notification within twenty-four hours of Sponsor sending the Prize Notification; (ii) submit any identification required by Sponsor or return any required documents within the specified time period; (iii) non-compliance with these Official Rules; or (iv) the return the Prize (or any portion thereof) as non-deliverable may result in the Potential Winner’s disqualification and Prize forfeiture.
Conditions and Releases.
1. Any and all federal, state and local taxes are the sole responsibility of the Winners, and Sponsor may require a completed IRS Form W-9 or other tax documentation before awarding any Prize with a reportable value.
2. By participating in the Giveaway, each Entrant and Winner gives Sponsor and Sponsor’s sponsors and suppliers related to the Giveaway, including NVIDIA Corporation (the “Giveaway Suppliers”) permission to use the Entrant’s name, address (city and state), likeness, image, photograph, picture, portrait, voice, biographical information, entry and/or any statements made by the Entrant regarding the Giveaway, the Giveaway Suppliers, or Sponsor for advertising, marketing, and promotional purposes without notice or additional compensation, except where prohibited by law. Entrants expressly acknowledge that such permission and consent includes the right and ability of Sponsor and the Giveaway Suppliers to use, incorporate, and include the Winner’s name, image and likeness in the design, production, and distribution of content and materials related to the Giveaway for advertising, promotional, trade, and any other purpose, in any media or format now known or hereafter devised, throughout the world, in perpetuity, without limitation and without further compensation, consideration, permission or notification, unless prohibited by law.
3. By participating in the Giveaway, each Entrant and Winner agrees to release and hold harmless Sponsor, NVIDIA Corporation, and their respective advertising and promotion agencies and their respective parent companies, subsidiaries, affiliates, partners, representatives, agents, successors, assigns, employees, officers and directors (collectively, “Released Entities”), from any and all liability, claims, demands, losses, damages, injuries, costs, and expenses, including without limitation property damage, personal injury and/or death, arising out of or relating to the Giveaway, preparation for, travel to, or participation in the Giveaway, possession, acceptance, use, or misuse of any prize, participation in any Giveaway-related activity, or any claims based on publicity rights, defamation, invasion of privacy, copyright infringement, trademark infringement, or any other intellectual property-related cause of action, except to the extent caused by the Released Entity’s gross negligence, willful misconduct, or violation of applicable law. Entrants who do not comply with these Official Rules or who attempt to interfere with these Giveaway in any way shall be disqualified. Sponsor is not responsible if the Giveaway cannot take place or if any Prize cannot be awarded due to travel cancellations, delays or interruptions due to acts of God, acts of war, natural disasters, pandemic, epidemic, weather, acts of terrorism, governmental action, labor disruption, technical failure, or any other cause beyond Sponsor’s reasonable control.
General Terms.
1. The decisions of Sponsor are final and binding on all matters relating to the Giveaway.
2. Persons who tamper with or abuse any aspect of the Giveaway, attempt to undermine the legitimate operation of the Giveaway by cheating, deception, or other unfair playing practices, intend to annoy, abuse, threaten, or harass any other entrant or any representative of Sponsor, or who are in violation of these Official Rules, as solely determined by Sponsor, will be disqualified and all associated entries will be void. Sponsor shall have the sole right to disqualify any entrant for violation of these Official Rules or any applicable laws relating to the Giveaway and to resolve all disputes in its sole discretion, subject to applicable law and provided that Sponsor applies such decisions in a non-discriminatory manner.
3. Released Entities make no warranty, guaranty, or representation of any kind concerning any Prize (or any portion thereof) and disclaim any implied warranty to the fullest extent permitted by applicable law.
4. Sponsor reserves the right, in its sole discretion, to modify, suspend, extend, or cancel the Giveaway (or any portion thereof) in the event Sponsor is prevented from executing the Giveaway as contemplated herein by any event beyond Sponsor’s control, including but not limited to: fire, flood, earthquake, explosion, pandemic or other public health crisis, labor dispute or strike, act of God or public enemy, network or equipment failure, riot or civil disturbance, terrorist threat or activity, war (declared or undeclared), court order, or federal, state, or local government law, order, or regulation. Sponsor also reserves the right, in its sole discretion, to modify, suspend, extend, or cancel the Giveaway (or any portion thereof) should virus, bugs, unauthorized human intervention, or other causes or events corrupt administration, security, fairness, integrity, or proper operation of the Giveaway. In the event of cancellation, Sponsor may elect to identify the Winner and award the Prize by way of random drawing from among all non-suspect, eligible entries received up to the time of cancellation, or, if awarding the Prize is impracticable or unlawful, Sponsor may elect not to award the Prize to the fullest extent permitted by applicable law. Sponsor also reserves the right, in its sole discretion, to modify these Official Rules for clarification purposes without materially affecting the terms and conditions of the Giveaway.
5. CAUTION: ANY ATTEMPT TO DELIBERATELY DAMAGE ANY WEBSITE OR OTHER PROPERTY ASSOCIATED WITH THE GIVEAWAY OR UNDERMINE THE CONTENT OR LEGITIMATE OPERATION OF THE GIVEAWAY MAY BE A VIOLATION OF CRIMINAL AND CIVIL LAWS AND, SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR WILL DISQUALIFY ANY ENTRANT RESPONSIBLE FOR THE ATTEMPT AND SPONSOR AND ITS AGENTS RESERVE THE RIGHT TO SEEK DAMAGES (INCLUDING ATTORNEYS’ FEES) AND OTHER REMEDIES FROM ANY PERSON(S) RESPONSIBLE FOR THE ATTEMPT TO THE FULLEST EXTENT PERMITTED BY LAW.
6. Entries generated by a script, macro, or other mechanical or automated means will be disqualified. In the event of dispute as to the identity or eligibility of any Potential Winner based on a Twitter/X or Instagram account, the winning entry will be declared made by the Authorized Account Holder of the applicable account used to enter the Giveaway, provided he/she is eligible according to these Official Rules. The "Authorized Account Holder" is defined as the natural person who is assigned to the account by the applicable social media site.
7. Sponsor’s failure to enforce any term of these Official Rules shall not constitute a waiver of that provision.
LIMITATION OF LIABILITY; DISCLAIMER OF WARRANTIES.
1. Sponsor make no representations or warranties of any kind, express or implied, regarding the Prize or Entrant’s participation in the Giveaway. By Participating in the Giveaway, Entrants agree to release, indemnify, defend, and hold harmless the Released Parties from and against any claim or cause of action arising out of participation in the Giveaway.
2. Released Entities are not responsible for: stolen, late, incomplete, illegible, inaccurate, misdirected, lost, misrouted, scrambled, damaged, delayed, undelivered, mutilated, postage-due, or garbled entries, transmissions, email, or mail; lost, interrupted, or unavailable network, cable, satellite, server, Internet Service Provider (ISP), wireless network, website, or other connections; availability, accessibility, miscommunications, or failures of computer, satellite, telephone, cable, or wireless transmissions or lines; computer hardware or software malfunctions, failures, or difficulties; wireless service congestion; failures or malfunctions of phones, phone lines, telephone systems, wireless towers, or cellular tower equipment; any error, omission, interruption, defect, or delay in wireless or other transmission, processing, or communication; printing, typographical, or other errors appearing within these Official Rules, in any Giveaway-related advertisements, or other materials; or any other errors, problems, or difficulties of any kind, whether human, mechanical, electronic, or other, relating to the Giveaway, including, without limitation, errors or difficulties which may occur in connection with administration of the Giveaway, processing of Entries, announcement of any Winner, or any Giveaway-related materials. Released Entities are also not responsible for any incorrect or inaccurate information, whether caused by website users (e.g., hacking) or by any equipment or programming associated with or utilized in the Giveaway.
3. Released Entities are not responsible for injury or damage to Entrant’s or to any other person's computer and/or wireless device related to or resulting from participating in the Giveaway or downloading from and/or printing material downloaded from any websites associated with the Giveaway.
4. The Giveaway and the Prize are provided “as is” without warranty of any kind, either express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose or noninfringement.
Arbitration; Class Action Waiver; Governing Law.
1. As a condition of entering each Giveaway, each Entrant agrees that: (a) any and all disputes, claims, controversies, or causes of action arising out of or relating to the applicable Giveaway or any Prizes awarded (each, a "Claim") shall be (i) arbitrated on an individual basis only and shall not be consolidated or joined with or in any arbitration or other proceeding involving a Claim of any other party and (ii) settled by binding arbitration in Los Angeles, California before a single arbitrator appointed by JAMS in accordance with its then governing rules and procedures, and judgment on the award rendered by the arbitrator may be entered by any court having jurisdiction thereof; and (b) under no circumstance will entrant be permitted to obtain awards for, and entrant hereby waives all rights to claim, punitive, incidental, consequential, or any other damages, other than for actual out-of-pocket expenses.
2. These Official Rules shall be governed by and construed and interpreted in accordance with the laws of the State of California, U.S.A, applicable to contracts entered into and performed exclusively in that State.
Privacy/Use of Data. Sponsor will be collecting personal data about entrants online, in accordance with its Privacy Policy found at https://nrg.gg/pages/privacy-policy. By participating in the Giveaway, entrants hereby agree to Sponsor’s collection and usage of their personal information and acknowledge that they have read and accepted Sponsor’s Privacy Policy.
Winner List. For a list of Winners, send a self-addressed, stamped envelope to: NRG Esports LLC, Attn: NRG x NVIDIA GPU Giveaway, 3571 Far West Blvd, Suite 3306, Austin, TX 78731 within six (6) months of the expiration of the Promotion Period.
No Implied Endorsement. The names of individuals, groups, companies, products and services mentioned herein, associated with Sponsor, or included on any prize, and any corresponding likenesses, logos and images thereof reproduced herein, have been used for identification purposes only and may be the copyrighted properties and trademarks of their respective owners. The mention of any individual, group or company, or the inclusion of a product or service as a Prize, does not imply any association with or endorsement by such individual, group or company or the manufacturer or distributor of such product or service and, except as otherwise indicated, no association or endorsement is intended or should be inferred. The Giveaway are in no way sponsored, endorsed, administered by, or associated with NVIDIA, Twitter/X, Instagram, or any other third-party.
Intellectual Property. Sponsor trademarks, service marks and copyrights are proprietary to Sponsor. All rights reserved.

EXHIBIT A

Declaration of Compliance

By participating in this Giveaway, I, ___________, am submitting this Declaration of Compliance to the Sponsor with the understanding that it will be relied upon by the Sponsor in connection with my having been selected the winner of the Giveaway. All capitalized terms shall have the same definition as those set forth in the Official Rules of the Giveaway.

I represent that I am eligible to win the Prize(s);

I represent that I satisfy all eligibility requirements set forth in the Official Rules, which I acknowledge I have read and understood, and any other requirements imposed by law;

I hereby represent and affirm that I have read, understood, complied with and will continue to comply with all the rules, regulations, and terms and conditions set forth in the Official Rules;

I have not perpetrated and will not perpetrate any fraud or deception in connection with the contest and have not sought to influence the outcome other than by participating as expressly permitted in the Official Rules;

I will be responsible for all applicable taxes on the Prize(s) and hereby agree to indemnify and hold harmless Sponsor for any claim by any governmental agency relating back to the collection of said taxes;

I understand that any non-compliance with the Official Rules may result in my disqualification from the Giveaway and other penalties from Sponsor, including, without limitation, loss of the Prize(s);

Subject to applicable law, I hereby grant Sponsor an irrevocable fully paid up, worldwide, royalty free, sublicensable and transferable license to display, create derivatives of, and otherwise use my likeness, voice, image, photographs, social media account names, and name in connection with the promotion, marketing, and making historical reference to this Giveaway.
